In this CLE, the moderator will lead panelists in a discussion of the process for selling a small to mid-size company, from pre-formation planning to post-closing price adjustments, and highlight potential roadblocks at each step of the process. The discussion may include the following topics:
- pre-sale planning, including corporate structure and organization
- an overview of the sales process from solicitations of interest to non-disclosure agreements to letters of intent to definitive documents to closing
- the role of lawyers, accountants and investment bankers before, during and after the sale process
- frequently negotiated provisions in purchase agreements
- common pitfalls during the diligence process, with specific emphasis on Intellectual Property issues
- transaction expenses paid by sellers

This presentation offers basic "what to do", introductory steps to help a personal injury attorney handle the aspect of their client's workers' compensation claim.
